1. About These Terms

This website is operated by Grouch & Co Coffee Roasters. Throughout these Terms of Service, “Grouch & Co”, “we”, “us” and “our” refer to Grouch & Co Coffee Roasters.

These Terms of Service apply when you:

  • visit or use our website;

  • create a customer account;

  • purchase products from us;

  • start or manage a coffee subscription;

  • submit reviews or other content; or

  • use any other service we make available through our website.

By using our website or placing an order, you agree to these Terms of Service and the policies referred to in them.

Our related policies, including our Shipping & Delivery Policy, Returns & Refunds Policy and Privacy Policy, form part of these Terms.

Our online store is hosted by Shopify, which provides the ecommerce platform we use to offer and sell our products.

2. About Grouch & Co

Grouch & Co is an independent small-batch coffee roastery based in Myaree, Western Australia.

We roast, pack and dispatch our coffee from our Myaree roastery.

3. Using Our Website

You must use our website lawfully and must not:

  • interfere with the operation or security of the website;

  • introduce viruses, malicious code or other harmful technology;

  • attempt to gain unauthorised access to our systems or customer accounts;

  • scrape, copy or collect information from the website without permission;

  • use the website for fraudulent, misleading or unlawful activity;

  • infringe our intellectual property rights or those of another person; or

  • submit abusive, discriminatory, defamatory, obscene or unlawful material.

You must be at least 18 years old to place an order, or have the permission and supervision of a parent or legal guardian.

We may suspend or restrict access to the website where we reasonably believe it is necessary to protect Grouch & Co, our customers, our systems or another person from fraud, unlawful conduct, security threats or misuse.

4. Products and Product Information

We take reasonable care to ensure that product descriptions, photographs, prices and availability information are accurate.

Coffee is an agricultural product, so natural variations may occur between harvests and batches. Screens and devices may also display colours differently. Product photographs are therefore illustrative and the appearance of packaging or products may vary slightly from what is displayed online.

Tasting notes describe the flavours and characteristics our roasting team identifies in the coffee. They are a guide rather than a guarantee that every person will experience the coffee in exactly the same way.

We may update product descriptions, packaging or availability from time to time.

5. Prices and Payments

All prices displayed on our Australian store are in Australian dollars and include GST where applicable.

Shipping charges, where applicable, are shown at checkout before payment is completed.

We may change our prices and promotions from time to time. A price change will not affect an order we have already accepted, except where there has been an obvious and genuine pricing error.

Payment must be made using one of the payment methods available at checkout. By submitting payment details, you confirm that you are authorised to use the selected payment method.

We use third-party payment providers to process transactions. We do not directly store complete payment card details.

6. Placing and Accepting Orders

When you place an order, you are making an offer to purchase the selected products under these Terms.

An automated order confirmation acknowledges that we have received your order. It does not necessarily mean that the order has been accepted.

We accept your order when we:

  • dispatch it;

  • notify you that it is ready for collection; or

  • otherwise confirm that we have accepted it.

We may reasonably decline or cancel an order before dispatch where:

  • the product is unavailable;

  • there is an obvious pricing or product-description error;

  • payment has not been authorised;

  • the delivery information is incomplete or invalid;

  • the order appears fraudulent or unauthorised;

  • the quantity ordered is not reasonably consistent with personal use;

  • we cannot lawfully supply the order; or

  • fulfilling the order would create a genuine safety or operational issue.

Where we cancel an order after payment has been collected, we will refund the amount paid for the cancelled products and any associated shipping charges.

7. Order Processing

Orders are generally processed in business-day batches.

Orders placed after 2pm Monday to Friday will usually be added to the following business day’s processing batch.

Orders placed on a Saturday, Sunday or public holiday will usually be added to the next business day’s batch.

Processing and dispatch times may be affected by product availability, roasting schedules, public holidays, unusually high order volumes or events outside our reasonable control.

8. Shipping and Delivery

We currently ship online orders within Australia. International shipping is not currently available through our online checkout.

Current shipping rates, estimated delivery times, free-shipping thresholds and local-delivery areas are displayed at checkout and explained in our Shipping & Delivery Policy.

Delivery timeframes are estimates rather than guaranteed arrival dates. Courier and postal delays may occur after an order leaves our roastery.

We will take reasonable steps to dispatch orders within the timeframes stated on our website. Nothing in this section limits any rights you may have under the Australian Consumer Law where products are not supplied within an agreed or reasonable time.

Once your order has been dispatched, you will usually receive tracking information by email.

You are responsible for providing a complete and accurate delivery address. Additional delivery charges may apply where an order must be redirected or resent because incorrect or incomplete information was provided.

Where you give a courier authority to leave an order unattended, the order will be treated as delivered when it is left at the authorised location. Please choose a reasonably secure delivery location.

Contact us at what@grouchandco.com if your order is significantly delayed, marked as delivered but cannot be located, damaged in transit or otherwise appears to have gone wandering.

9. Click and Collect

Where click and collect is available, collection details and applicable opening hours will be displayed during checkout or in your collection notification.

Please wait until we confirm that your order is ready before attending the roastery.

You may be asked to provide your order confirmation or identification when collecting an order.

10. Coffee Subscriptions

We offer recurring coffee subscription plans with the available products, delivery frequencies, prices and benefits displayed on the relevant product page and at checkout.

Recurring payments

By starting a subscription, you authorise Grouch & Co and our payment provider to charge your selected payment method automatically at the frequency you choose.

The subscription will continue until it is cancelled in accordance with this section.

Before completing your purchase, you will be shown:

  • the subscription product;

  • the price payable for each recurring order;

  • the delivery frequency;

  • any applicable shipping charges;

  • any discount;

  • the next scheduled charge or order date; and

  • any minimum commitment that applies.

Subscription discount

Unless otherwise stated on the product page or during a promotion, eligible Grouch & Co coffee subscriptions receive a 10% discount from the applicable standard product price.

Subscription discounts generally cannot be combined with another discount unless we expressly state otherwise.

Minimum commitments

Where a subscription has a minimum number of recurring orders, that commitment will be clearly displayed before you complete checkout.

After any stated minimum commitment has been fulfilled, you may cancel the subscription without a cancellation fee.

Do not publish a minimum commitment that is not clearly disclosed on the product page and during checkout.

Managing your subscription

You may manage your subscription through the subscription-management portal provided with your account or subscription emails.

Depending on the options available in the portal, you may be able to:

  • change your selected coffee;

  • change your delivery frequency;

  • update your delivery address;

  • update your payment method;

  • skip an upcoming order;

  • pause your subscription; or

  • cancel your subscription.

You may also request assistance by emailing what@grouchandco.com.

Requests sent by email should reach us at least three business days before the next scheduled processing date. Where an order has already been processed, charged or dispatched before we receive or complete the requested change, that order may still proceed.

This does not affect any rights you have under the Australian Consumer Law.

Subscription price changes

We may change subscription prices where our product, coffee, packaging, shipping or operating costs change.

Where a price change will affect an existing subscription, we will provide reasonable notice before the new price is charged. You may cancel the subscription before the change takes effect.

A new price will only apply to future subscription orders.

Failed payments

If a recurring payment is declined, we or our payment provider may attempt to process it again.

We may pause or cancel a subscription where payment cannot be completed after reasonable attempts. We will not dispatch an unpaid subscription order.

Product availability

If a subscription product becomes temporarily or permanently unavailable, we will contact you where reasonably possible.

We will not permanently substitute a materially different coffee without giving you the opportunity to accept the replacement, change the subscription or receive an appropriate refund.

11. Changes and Cancellations

Contact us as soon as possible if you need to change or cancel a one-off order.

Because coffee orders may be roasted, ground, packed or dispatched quickly, we cannot guarantee that a change or cancellation will be possible after an order has been submitted.

Where we can cancel an order before processing or dispatch, we will refund the cancelled amount using the original payment method.

Any cancellation rights provided by the Australian Consumer Law continue to apply.

12. Returns, Refunds and Consumer Guarantees

Our products and services come with guarantees that cannot be excluded under the Australian Consumer Law.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or other protection that cannot lawfully be excluded, restricted or modified.

Depending on the circumstances, you may be entitled to a refund, replacement or another remedy where a product:

  • is faulty, damaged or unsafe;

  • is not of acceptable quality;

  • does not match its description;

  • is not fit for a purpose you made known to us; or

  • otherwise fails to meet a consumer guarantee.

Please contact us as soon as reasonably possible if you receive an incorrect, damaged or faulty product. We may ask for your order details, photographs or other reasonable information so we can assess and resolve the issue.

Change-of-mind returns are handled in accordance with our Returns & Refunds Policy. Any change-of-mind policy is additional to, and does not replace, your Australian Consumer Law rights.

Refunds will generally be returned to the original payment method unless otherwise agreed.

13. Promotions and Discount Codes

Promotions and discount codes may be subject to additional conditions displayed with the relevant offer.

Unless otherwise stated:

  • discount codes cannot be exchanged for cash;

  • only one discount code may be used per order;

  • discounts do not apply retrospectively;

  • discounts may exclude subscriptions, bundles, limited releases or other selected products; and

  • promotions are available only during the stated promotional period or while stocks last.

We may correct or withdraw a promotion where there has been a genuine error, technical issue or misuse. This does not affect orders already accepted unless permitted by law.

14. Customer Accounts

You are responsible for keeping your account and login information secure.

You must provide accurate and current information and update it when necessary, including your email address, delivery address and payment details.

Please contact us promptly if you believe your account has been accessed without permission.

We may suspend an account where we reasonably suspect fraud, unauthorised use, security risks or a serious breach of these Terms.

15. Intellectual Property

Unless otherwise stated, the website and its content are owned by or licensed to Grouch & Co.

This includes our:

  • business name and branding;

  • logos;

  • product names;

  • written copy;

  • photographs;

  • illustrations;

  • graphics;

  • videos;

  • recipes and guides; and

  • website design and layout.

You may access and use the website for personal, non-commercial shopping and information purposes.

You must not reproduce, distribute, modify, republish, sell or commercially exploit our website content without our prior written permission, except where permitted by law.

16. Reviews, Comments and Other Content

You may submit reviews, comments, photographs or other content where this feature is available.

You confirm that content you submit:

  • is accurate and based on your genuine experience;

  • does not infringe another person’s rights;

  • is not defamatory, threatening, discriminatory, obscene or unlawful;

  • does not contain confidential information; and

  • does not contain malware, spam or misleading promotional material.

You retain ownership of your content.

By submitting content to us, you give Grouch & Co a non-exclusive, worldwide, royalty-free licence to store, reproduce, edit, display and share it for operating and promoting our business, including through our website, email marketing and social media.

We may decline, moderate or remove content where we reasonably believe it breaches these Terms or applicable law. We will not remove a genuine negative review merely because it is negative.

17. Third-Party Services and Links

Our website may use or link to third-party services, including Shopify, payment processors, subscription-management providers, delivery companies and social-media platforms.

Those third parties may have their own terms and privacy practices.

We are not responsible for the content or operation of an independent third-party website that we do not control. However, nothing in this section excludes any responsibility we have under applicable law for services we arrange or provide as part of your order.

18. Privacy

We collect, use and protect personal information in accordance with our Privacy Policy and applicable privacy laws.

By using our website or placing an order, you acknowledge that your information may be provided to service providers where reasonably necessary to process payments, fulfil orders, deliver products, manage subscriptions, provide customer service or operate our website.

19. Website Availability and Security

We take reasonable steps to maintain our website and protect it from security threats.

We do not guarantee that the website will always be available, uninterrupted or completely free from technical errors.

We may temporarily suspend access for maintenance, updates, security or circumstances outside our reasonable control.

Where a technical error affects an order or payment, we will take reasonable steps to investigate and correct it.

20. Liability

Nothing in these Terms excludes, restricts or modifies liability that cannot lawfully be excluded, restricted or modified, including liability arising under the Australian Consumer Law.

To the extent permitted by law, Grouch & Co is not responsible for indirect or consequential loss that was not reasonably foreseeable as a result of our breach.

We are not responsible for loss caused by:

  • your unlawful or unauthorised use of the website;

  • inaccurate information you provide;

  • your failure to keep account details secure;

  • independent third-party websites or services outside our control; or

  • events outside our reasonable control, provided we take reasonable steps to minimise the effect of those events.

Where the law permits us to limit a remedy or liability, any limitation will apply only to the maximum extent permitted by law.

21. Events Outside Our Reasonable Control

We may experience delays or interruptions caused by events outside our reasonable control, including severe weather, natural disasters, transport disruption, industrial action, power or internet outages, supply-chain interruptions, equipment failure, government action or courier delays.

Where this occurs, we will take reasonable steps to minimise disruption and communicate material delays where practical.

This section does not remove any right or remedy available to you under applicable law.

22. Suspected Fraud and Misuse

We may hold, decline or cancel an order where we reasonably suspect fraud, unauthorised payment activity, misuse of a promotion or other unlawful conduct.

Where appropriate, we may request information reasonably necessary to verify the order or payment.

If an order is cancelled and we have received cleared payment, we will provide a refund unless the payment is subject to a chargeback, reversal, fraud investigation or legal restriction.

23. Changes to These Terms

We may update these Terms to reflect changes to our products, services, website, business practices or legal obligations.

The current version and its last-updated date will be published on this page.

Changes will apply to website use and orders placed after the updated Terms take effect. They will not retrospectively alter an order we have already accepted unless:

  • we agree with you;

  • the change benefits you; or

  • the change is required by law.

Material changes affecting an existing subscription will be communicated with reasonable notice. You may cancel the subscription before the change takes effect.

24. Severability

If any part of these Terms is found to be invalid or unenforceable, that part will be read down or removed to the minimum extent necessary.

The remaining Terms will continue to apply.

25. No Waiver

If we do not immediately enforce a right under these Terms, that does not mean we have waived that right.

26. Entire Agreement

These Terms and the policies incorporated into them form the agreement between you and Grouch & Co regarding your use of the website and purchases made through it.

They replace earlier versions of our online Terms of Service but do not override rights or obligations that accrued under an order before the updated Terms took effect.

27. Governing Law

These Terms are governed by the laws of Western Australia and applicable Commonwealth laws of Australia.

The courts of Western Australia have non-exclusive jurisdiction in relation to disputes concerning these Terms.

Nothing in this section prevents you from relying on rights or protections available under the laws that apply to you and cannot legally be excluded.
